THIS IS A LEGAL AGREEMENT BETWEEN YOU (“Client” or “You”) AND Team Member Hire Inc., located at 114 Irvine Ave SW, Bemidji, MN 56601 (“Provider”). By signing up for recruiting services, you acknowledge that you have read, understand, and agree to be legally bound by all terms of this Agreement (“Agreement”).

1. TERM AND RENEWAL
This Agreement becomes effective upon signup and shall remain in effect for an initial, non-cancelable term of six (6) months (“Initial Term”).
After the Initial Term, the Agreement shall automatically renew on a month-to-month basis unless canceled by either party in accordance with Section 7.

2. SERVICES PROVIDED
Provider will supply Client with an applicant tracking system and Recruiting Services, including sourcing, screening, and qualifying candidates for Client’s open positions.

3. FEES AND BILLING
(a) Recruiting Services Fee: $349 per month.
(b) Onboarding Fee: $199 one-time, unless expressly waived by Provider in writing.
(c) Payment Authorization:
By enrolling and providing your credit card information, you authorize Provider to automatically charge all monthly fees, onboarding fees, and any other amounts due. All payments are non-refundable.
If the credit card on file becomes invalid or is discontinued, Client agrees to provide an updated payment method prior to the next billing date.
(d) Billing: All services are billed in advance.

4. CONFIDENTIALITY AND NON-DISCLOSURE
Client acknowledges that Provider’s recruiting methods, systems, processes, documents, screening tools, technology, and other proprietary information (“Confidential Information”) are confidential and the exclusive property of Provider.
Client agrees not to copy, disclose, share, or distribute any Confidential Information to any third party without Provider’s prior written permission.

5. CANDIDATE SUBMISSIONS & HIRING RULES
(a) Client may hire any candidate presented by Provider only while actively subscribed to Recruiting Services.
(b) If Recruiting Services are canceled or terminated, Client shall not hire, solicit, or engage any candidate previously presented by Provider unless otherwise approved in writing.
(c) Provider does not guarantee candidate performance, tenure, qualifications, or suitability.

6. NON-SOLICITATION OF PROVIDER EMPLOYEES
Client agrees that during the term of this Agreement and for twenty-four (24) months following termination or expiration, Client shall not directly or indirectly solicit, hire, recruit, or attempt to hire or recruit any employee, contractor, or staff member of Provider.
If Client violates this provision by hiring a Provider employee or contractor, Client agrees to pay Provider a $250,000 hiring fee as liquidated damages.

7. TERMINATION
This Agreement cannot be canceled during the Initial Term.
After the Initial Term, Client may cancel the Agreement only by logging into their account and canceling through the membership platform at least 30 days prior to the next billing cycle.
Failure to provide timely notice will result in automatic renewal at the then-current pricing, and Client authorizes Provider to charge the credit card on file accordingly.

8. LIMITATION OF LIABILITY
Provider is not liable for any damages, losses, or claims arising from Client’s hiring decisions or the use of Provider’s services.
Client assumes full responsibility for all hiring decisions and outcomes.

9. RECORDINGS & MEDIA RELEASE
By participating in communications with Provider, Client understands that portions of interactions may be recorded in audio, video, or photographic formats.
Client grants Provider an irrevocable, perpetual, worldwide license to use Client’s name, likeness, image, voice, and testimonial(s) for advertising, training, and promotional purposes without compensation, unless prohibited by law.

10. INDEMNIFICATION
Client agrees to indemnify, defend, and hold harmless Provider from any claims, damages, liabilities, or losses arising from Client’s hiring decisions, actions, misuse of information, or breach of this Agreement.

11. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Minnesota.

12. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, discussions, or representations.
